Franchising Status
   • Uniform Franchise Offering Circulars (UFOCs) are being prepared for approval in the states of Pennsylvania, Ohio, and West Virginia.
    • International Master Franchising is being explored in Beijing & Singapore, PR.China; Seoul, South Korea and Manila, The Philippines; Malaysia is also being discussed. A major thrust will be made into Latin America (Mexico first) and Spain in the 3rd quarter of 2003 as qualified inquiries have already been received.

Securities Status
   • Exempt (from prospectus): 2 Co-Founder positions have been purchased; 5 shareholding positions are reserved; 3 shareholder positions remain open; thereafter, a written prospectus is required before an 11th shareholder position can be admitted.
   • A U.S. Securities and Exchange Commission (SEC) Regulation D prospectus is being drafted.
